These terms apply to the FirmCourier website, account and business research service (the “Service”). “FirmCourier” names the Service. For questions about these terms or your account, contact info@firmcourier.com.

1. Acceptance and eligibility

By creating an account, accessing or using the Service, you agree to these terms and the Privacy Policy. If you use the Service for a business or another person, you confirm that you are authorised to accept these terms for them. You must be at least 18 and legally capable of entering into an agreement.

2. What FirmCourier provides

FirmCourier provides tools for business research, company discovery, qualification, contact discovery, saved company information, opportunity monitoring, workflow assistance and preparation of outreach drafts. Available functions depend on the account and current Service configuration. The Service does not guarantee delivery of any particular result, contact, opportunity, customer or business outcome.

3. AI-assisted features and third-party information

Some features use AI services and public-source research to generate searches, summaries, classifications and drafts. AI output and third-party source information may be inaccurate, incomplete, outdated or misleading. You must independently review evidence and verify important information before acting. Outputs are informational tools, not legal, financial, tax, compliance or other professional advice. You remain responsible for decisions and for complying with laws that apply to your research and outreach. FirmCourier is an independent service and is not affiliated with or endorsed by OpenAI.

4. Your account and security

Provide accurate account information, protect your credentials and promptly tell us if you suspect unauthorised access. You are responsible for activity through your account, except where applicable law provides otherwise. We may use account and security measures such as email or Google authentication and optional two-step verification.

5. User data and content

You retain rights you have in information and content you submit. You give us permission to host, process and use that content as reasonably necessary to provide, secure and support the Service, including processing by service providers described in the Privacy Policy. You confirm that you have the rights and lawful basis needed to submit information about other businesses or people. Do not upload confidential or sensitive personal data unless the Service specifically supports it and you are entitled to do so.

6. Acceptable use

Use the Service lawfully and responsibly. The detailed rules in our Acceptable Use Policy form part of these terms. They prohibit unlawful outreach, spam, unauthorised collection or use of personal information, impersonation, security probing, disruption and unauthorised resale or exploitation of the Service.

7. Plans, recurring billing and cancellation

Public plan names, prices and stated allowances are shown on the Pricing page. When billing is enabled, paid subscriptions are purchased through Stripe Checkout.

Before confirming a checkout, Stripe displays the selected plan, billing period, recurring price and any calculated tax. Monthly subscriptions recur monthly and annual subscriptions recur annually until cancelled. A customer can manage an eligible subscription through the Stripe Customer Portal. A cancellation scheduled for period end stops future renewal; access continues while Stripe reports the subscription as active and ends when the subscription is cancelled or otherwise ceases to qualify for paid access. Failed or overdue payments may affect access according to the subscription status synchronized from Stripe. Applicable statutory consumer rights, including any withdrawal rights, are not restricted by these terms.

Paid access is synchronized from Stripe after a verified webhook confirms the subscription. Prices and applicable taxes are presented before payment confirmation.

8. Usage, fair use and resource limits

Search allowances, result limits and operational caps are described on the Pricing page and may also be subject to per-job limits, AI budgets, provider restrictions, security controls and fair-use safeguards. A stated result maximum is a cap, not a promise that every Search will return that many results. We may throttle or pause activity to protect service availability, provider limits and other users. We will not describe a plan as unlimited where technical or fair-use limits apply.

9. Pricing changes and taxes

We may change prices or plan features prospectively. If a change affects an existing paid subscription, we will give notice and obtain any agreement required by law before charging the changed amount. The price and taxes payable for a future purchase will be disclosed before checkout confirmation.

10. Third-party services

The Service relies on third-party infrastructure and services, which may have their own terms and availability conditions. We are not responsible for independent third-party services or for transactions between you and third parties, except to the extent responsibility cannot be excluded by law. We will explain material processing of your data in the Privacy Policy.

11. Intellectual property

We and our licensors retain rights in the Service, its software, design, names and materials, including the FirmCourier, Firm Chat and Benethor names and FC logo. Site content, design and code are protected by applicable intellectual property laws. These terms grant you a limited, non-exclusive, non-transferable right to use the Service for its intended lawful purpose while your access is available. You may not copy, modify, distribute or commercially exploit the Service except as permitted by law or with our written permission. OpenAI and ChatGPT are names of their respective owners; their mention does not imply affiliation or endorsement.

12. Availability, suspension and termination

The Service may change, be interrupted or become unavailable, including for maintenance, security, provider or operational reasons. We may suspend or restrict access where reasonably necessary to protect the Service or others, comply with law, address misuse, or respond to a material breach. Where practicable, we will provide notice and an opportunity to resolve the issue. You may stop using the Service and request account deletion by contacting us. Suspension or termination does not remove rights or obligations that accrued before it.

13. Disclaimers and liability

To the extent permitted by law, the Service is provided as available and we do not warrant uninterrupted operation or that research or AI outputs will be accurate, complete or suitable for a particular purpose. Nothing in these terms excludes or limits liability, warranties or remedies that cannot lawfully be excluded or limited, including applicable consumer rights.

To the extent permitted by law, we are not liable for indirect or consequential loss arising from use of the Service. Nothing in these terms limits liability for intent, gross negligence where it cannot be limited, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law. If you are a consumer, mandatory protections under the law applicable to you continue to apply.

14. Governing law and consumer rights

These terms are governed by Slovenian law, without depriving consumers of protections that cannot be excluded under the mandatory law of their habitual residence. Disputes are subject to competent courts in Slovenia where permitted; a consumer may also bring a claim in another court when mandatory law gives them that right. Nothing in this section limits statutory consumer remedies or access to an applicable alternative dispute-resolution body.

15. Changes and contact

We may update these terms to reflect changes to the Service or law. We will publish the current version and update the date above; where required, we will give advance notice or seek renewed agreement. Questions, complaints or account requests can be sent to the address below.
